What you need to know now

IFZA’s financial-statement renewal requirements took effect on 30 September 2025. Its FAQ allows simplified statements only where both the turnover and employee criteria are met; otherwise audited statements are required.

  • Check the latest completed financial year for the renewal.
  • The simplified route requires turnover of AED 3 million or less and no more than nine employees at any time in that year.
  • IFZA states that any registered UAE auditor may prepare the audited statements.

Check the renewal requirement against the financial year

IFZA’s financial statement requirement applies through the licence renewal process from the effective date described in its official FAQ. Identify the most recently completed financial year relevant to the renewal, rather than assuming that the licence anniversary and accounting year-end are identical. Keep the financial year recorded in the company’s constitutional documents available. Where a first period, changed year-end or recent incorporation makes the coverage unclear, obtain clarification through the renewal channel before preparing the submission.

Prepare the evidence for the simplified-statement decision

The simplified route described in the IFZA FAQ has both a turnover condition and an employee condition. Build a short file showing the annual revenue calculation and the staff count during the completed financial year. Do not decide using only the number of people employed on the renewal date. Include relevant employment arrangements in the review and confirm uncertain cases against the official definition. This provides a documented basis for selecting the statement format rather than relying on a rough estimate.

Use the required format and appropriate professional support

Where the simplified route is available, IFZA specifies its own template. Complete it using reconciled records and obtain the required authorised signature. Where audited statements are needed, agree the reporting period and information request with a registered UAE auditor. The authority FAQ does not establish an exclusive IFZA-only auditor panel. Other legal or tax reporting requirements should still be considered separately; eligibility for one renewal format does not automatically settle every reporting question affecting the company.

Treat renewal reporting as a recurring close process

Keep invoices, bank reconciliations, customer and supplier balances and payroll records in order throughout the year. Start preparation before the renewal request arrives so that the authorised signatory has time to review the figures. Retain the submitted statements and related correspondence, and record any clarification received from IFZA. If turnover or staffing changes, reassess the reporting route for the next completed financial year instead of assuming that the company will always qualify for the same simplified submission.

YOUR NEXT STEPS

A practical way forward

  1. 01

    Step 1

Confirm the company’s financial year in its constitutional documents.

  2. 02

    Step 2

Determine whether both simplified-statement criteria are met.

  3. 03

    Step 3

Prepare the required signed statements and follow the renewal submission instructions.

CLEAR ANSWERS

Frequently asked questions

Does IFZA require a special exclusive auditor panel?

The cited IFZA renewal FAQ permits any registered UAE auditor. Verify the firm’s professional registration and the current submission instructions.

Can low turnover alone qualify for simplified statements?

No. The employee criterion must also be met; other legal or tax requirements should be considered separately.
