What you need to know now
An HFZA licence does not automatically make all company income tax-free. Assess registration and filing obligations, then separately test whether the company meets the Qualifying Free Zone Person conditions.
The original article is preserved below as a historical record. Earlier deadlines, rates, offers and approval statements should not be used as current guidance.
- 0% is available on Qualifying Income only while the conditions are met.
- The de minimis test compares non-qualifying revenue with the lower of 5% of total revenue and AED 5 million, subject to exclusions.
- A failed qualifying condition can affect the current and four subsequent Tax Periods.
HFZA location does not settle the tax outcome
An HFZA company should address Corporate Tax registration and annual compliance separately from assessing a beneficial Free Zone treatment. The licence identifies where the business is established; it does not by itself demonstrate that every income stream qualifies for 0%. Start with the actual legal person, activities, customers and accounting period. Preserve the original 2023 article as an introduction, while applying the current rules to the period and transactions under review.
Build an income and customer map
List revenue streams and connect them to contracts, customers and the activities performed. Distinguish the facts needed for a Free Zone assessment rather than treating all receipts as one category. Review where functions are performed and which entity contracts and invoices. A customer’s address alone may not answer the relevant question. Keep the analysis beside the accounting records so the computation can explain both the income identified and the supporting conditions relied upon.
Review qualifying conditions together
A Qualifying Free Zone Person must meet the regime’s conditions, including relevant substance and transfer-pricing requirements. Review the treatment of non-qualifying revenue and the applicable de minimis calculation, rather than assuming a small amount of different activity is always harmless. Some revenue is addressed through specific rules, so the calculation needs a supported classification. Document the review for each period and revisit it when business activities, customers or the company’s operating arrangements change.
Connect the assessment to filing evidence
Prepare the financial information, tax computation and supporting schedules consistently with the status claimed. Review applicable audited-financial-statement requirements and keep the assessment with the return file. Registration and filing obligations are not removed simply because the company expects no tax payable. If a qualifying condition is not met, assess the consequences under the regime before filing; do not quietly continue using 0% because it was used in an earlier period. Keep the approved conclusion and responsible reviewer identifiable. Keep that review accessible to management.

A Guide to UAE Corporate Tax Registration on Emaratax Platform for HFZA Companies
HFZA Corporate Tax Registration And Filing : Free zones are a crucial component of the UAE economy and have a key role in attracting foreign investment that plays a pivotal role in the country’s development. To this end, special rules were introduced in the corporate tax law (the law) of the UAE.
Article 3 of the law states that zero per cent corporate tax (CT) is applicable on the qualifying income of a qualifying free zone person. All other income of such a person is subject to tax at nine per cent unless it is exempt or out of the scope.
In the law, it is very clear that CT is applicable to the free zone persons and the tax rate can be zero per cent or nine per cent based on the nature of the income. Since the free zone persons are taxable, so they are liable to comply with the CT law. They are legally responsible for registering for CT, calculating taxable income, submitting the annual return, making tax payment and complying with other provisions of CT law. For clarification purposes, there is no threshold to register business for corporate tax. If business is in losses and expects no income in next year also still they need to apply for CT registration
